TERMS OF USE:

Waly LLC ("we," "us" the "Company") offers you the opportunity to earn rewards by referring friends to try our Service. Your participation in the Referral Program ("Waly Referral Program" or "Program") can earn you rewards to redeem for rewards. We reserve the right to terminate the Program at any time for any reason. The Program is administered by Waly, which may outsource certain elements of administration to third parties (collectively "Administrator").

These terms ("Terms") apply to a user's participation in the Program. By participating in the Program, Users agree to use the Program as outlined herein and are consistent with any other terms we may apply to the Program. If you do not agree to these Terms in their entirety, then you cannot register and participate in the Program. Users also cannot wherein so doing, they would violate any applicable law or regulations. These Referral Terms are published by Waly LLC. Our Referral Program is displayed on our Website www.waly.io and these Terms form a binding agreement for both Referring Users (“you” or “your(s)”) and people who receive our referral invitation.

 

Program Participation, Generally

1. To participate in the Program, Referrers should either use www.waly.io or our apps and follow the on-screen instructions to refer friends or family to the program by entering their contact information in the relevant fields.

2. Individuals who receive a referral via a Referrer are "Friends" (or, singly, a “Friend”). An "Eligible" Referrer who is fully compliant with these Terms and Conditions may receive "Reward(s)" for every "Qualified Referral” (all terms in quotes to be understood as defined below).

3. By participating in the Program, a Referrer represents that he or she has her Friends’ prior consent to provide their contact information.

 

Eligibility

This Program is void where such referral programs are prohibited. Users who refer others to the program are "Referrers"; those who are referred are "Referred Customers." Referrers are may be eligible to receive "Rewards" for qualified referral. Referrers must be legally able to participate in the Program, and must be 1) at least the age of majority where they reside, 2) have an existing, valid Waly user account, and 3) are otherwise in good standing. When registering for the Program, Referrers must use the same email address that is registered with their existing Waly user account. Referrers must respect the spirit of the Program by only referring real individuals who meet the requirements of these Terms and Conditions. Referrers cannot refer themselves. For example, a Referrer may not create multiple or fake accounts with Waly or participate in the Program using multiple or fake email addresses or identities. Once a Referrer refers a Friend, he/she will be provided with a confirmation email and will be contacted if a Qualified Referral is made by the referred Friend within 3 months. Participation in the Program represents an ongoing relationship with you, for privacy purposes. So long as you remain in the Program, and you have unused Rewards, you will be considered an active member of the Program and the Waly Community. Qualified Referrals

​

Upon signing up for the Program, Referrers will be provided with a unique referral link ("Personal Link") that allows to track. Each Referrer will be able to check his/her status on referrals by logging in to his/her/their account and checking the Referral Status. Referrers will also be provided with a unique and personal Waly "Referral Status" page or account to check the status of his/her Qualified Referrals and to manage his/her account. Personal Links will be issued only to individuals. An individual must use their Personal Link to participate in the program but no purchase is required. Referrers must respect the spirit of the Program by not engaging in spamming or other unfair or otherwise problematic practices, including creating fake accounts or harassing potential referral sources. A Completed Referral is when a Referring User refers this Program to one of its contacts. Subsequently, that contact will either sign-up, make a purchase or complete whatever action is determined as a referral above - which is not canceled or disputed per the applicable rules. A limit to the number of referrals by Referring Users may apply. Or we may specify a maximum number of Completed Referrals who are eligible for the benefits of this Program. All referred people must be new and first-time Users. Existing Users cannot participate in and benefit from the Referral Program. You represent all personal information is 100% correct and up to date. We may monitor your use of the Referral Program or request your ID to verify your identity before issuing rewards.

Earning Rewards

​

Referrer shall receive only one (1) reward (each, a “Reward”) in the form and value determined by Waly for any number of verified Qualified Referral generated by Referrer. Rewards are subject to verification and will generally be awarded within 60 days of verification. Rewards may be redeemed in various forms at Waly’s sole discretion, including, but not limited to in the form of a gift card. Restrictions may apply. For example, if the Reward is in the form of a gift card, gift certificate, or voucher, it may be subject to the issuer's terms and conditions.

 

Verified Qualified Referrals

 

Rewards are subject to verification. Waly may delay a Reward for the purposes of investigation. Waly may also refuse to verify and process any transaction Waly deems, in its sole discretion, to be fraudulent, suspicious, in violation of these Terms and Conditions, or believes will impose potential liability on Waly. All of Waly's decisions are final and binding, including decisions as to whether a Qualified Referral or Reward is verified.

Transfer and Value of Credit and Rewards

​

Rewards are not transferable and may not be auctioned, traded, bartered, or sold. Upon termination of the referral program or any portion thereof for any reason, any unredeemed Rewards that have not yet been delivered to Referrer are forfeited.

 

Restrictions

 

This Program cannot be combined with other Waly LLC referral programs, discounts, vouchers, benefits, or incentives. By participating in this Referral Program, we may restrict you from any other promotion, program, discount, or vouchers. You understand and agree that you must not use referral methods that are bothersome to the recipients. Moreover, your participation in the Referral Program must not violate the applicable law, including but not limited to anti-Spam legislation, which is the mass distribution of unsolicited messages. You must not publish our Referral Program on any sites or platforms that house any Adult Content, Alcohol, Tobacco, Gambling, Games, Online Casinos, Political Content, and any form of illegal activities. You must not at any time, invite or refer people who are unknown to you. You must only use our Referral Program for personal use and refrain from its use for commercial purposes. 

 

Term and Termination

 

This Referral Program will run until the announced date and that date can be extended or restricted. We may also in our sole discretion notify Users that the Referral Program has ended with immediate effect. Any referral made before the end of the Referral Program can still participate. However, we may exclude referrals at our sole discretion made after its termination date. We may terminate this Referral Program at any time, including your participation or the availability of its benefits. 

 

Exclusive Relationship

 

You understand and agree that you are only the User of our services and/or products, and refrain from implying any other affiliation or legal relationship with us. You understand and agree that you are never authorized to legally bind our company. You must never create any materials that contain our branding, trademark, (part of) our corporate identity. By participating in the Referral Program you must not represent yourself in duplicate, agent, or intermediary of our company

 

Privacy and Information

 

All personal information collected and processed as part of this Referral Program will be used per Waly’s Privacy Policy, available at waly.io/privacy Under the applicable laws and regulations, Waly LLC shall be responsible for collecting and processing such personal information. You undertake to respect the privacy rights of the people you invite to our Referral Program and direct to our website. When referring other people, you must always inform them about the applicable terms and conditions and privacy policy. You must do so before they participate in the Referral Program, and leave their personal information.

 

Amendments

 

We may amend the terms and conditions of our Referral Program. We may offer and/or restrict additional incentives, benefits, and programs. As a result, additional terms may apply. You agree that you are aware of those amended and additional terms.

 

Violations and Termination

 

In case we suspect any violations of these terms or otherwise tampering with, fraud or unreasonable use of our Referral Program, we may in our sole discretion cancel the distribution of any discount, benefit, or payout. If you are a current or former employee, contractor, or affiliate of our company, we may restrict your participation in the Referral Program, and we may restrict or cancel your participation with immediate effect. You must comply with all applicable laws and regulations, and refrain from violating any third-party rights. These rights include any copyright, trademark, or other proprietary rights.

 

Disclaimer and Indemnification

 

We offer our Referral Program and its benefits only on an “as is” and “as available” basis. We may remove, change and update the Referral Program at our sole discretion. We will never make any promises or guarantees about the content and information of our Referral Program. We disclaim our responsibility for any information that is incorrect or has errors. Our Referral Program is based on our best efforts. You acknowledge and agree that we can never guarantee any benefit or result from participating in the Referral Program. You will defend, indemnify and hold [Customer Name] harmless from and against all claims, damages, liabilities, losses, expenses, and costs (including reasonable attorneys fees) arising out of your participation in the Referral Program.

 

No Correspondence, Disputes And Refunds

 

With regards to the distribution of discounts, vouchers, incentives, prizes, awards or other benefits, no correspondence will be entered into. Moreover, we shall never respond to any complaint or accept any dispute about the Referral Program, and the abovementioned benefits. are provided “as is” and we never refund or exchange such benefits. 

 

Applicable Law

 

The law of our residence shall apply and the court in that country is competent to hear any claim that may arise out of these terms.
